This Merchant Agreement (the "Agreement") is between the business that registers for a CliqMenu account (the "Merchant", "you") and the provider of the CliqMenu platform. CliqMenu is a product and venture of INTHUB Solutions Pty Ltd (ABN 93 603 890 893), which owns the CliqMenu platform and its intellectual property; in this Agreement, "CliqMenu", "we", "us" and "our" mean INTHUB Solutions Pty Ltd and any related, affiliated, or successor entity that operates the CliqMenu platform. It governs the Merchant's commercial use of the Platform and is in addition to the Terms of Service, the Privacy Policy, and the Acceptable Use Policy. By onboarding a business and accepting this Agreement in the BMS, you agree to it.
Note. This Agreement covers the commercial relationship between CliqMenu and the Merchant. It is separate from the terms you accept directly with a payment provider (for example, Stripe's or Cashfree's own terms on their hosted onboarding).
1. The service we provide
CliqMenu provides the Merchant with tools to publish menus, manage locations, accept and manage orders (live and pre-orders), and access reporting — across the BMS, OMS, and FOS. We grant the Merchant a non-exclusive, non-transferable licence to use the Platform for its own business during the term.
Public listing. Once your business page is approved, your business name, branding, and locations may appear on cliqmenu.com — including the Discover listing and your public business page — so customers can find and order from you. You can ask us to take down your public brand page at any time; ordering links you have shared keep working, and a takedown does not close your account.
2. The Merchant's responsibilities
You are responsible for:
- the accuracy of your menu, prices, availability, allergen and tax information, and business details;
- preparing and fulfilling orders — including their preparation, packaging, pickup timing, and service — and for the quality, safety, and legality of what you sell;
- holding the licences, registrations, and food-safety approvals your business requires;
- providing accurate business-registration details (such as your ABN or NZBN) and, where we reasonably require it, information to verify your business or your authority to act for it;
- your staff's use of the Platform and the access you grant them; and
- complying with consumer law and tax law that applies to your sales.
Verifying your business. We may, now or in future, verify your business registration and — where reasonably necessary — your or your business's identity, including through trusted third-party verification providers, to confirm legitimacy, reduce fraud, and meet our legal and payment-provider obligations. We will ask only for what is reasonably needed for that purpose and handle any information you give us in line with the Privacy Policy. Verifying, or choosing not to verify, a business is not a guarantee or endorsement by CliqMenu about any Merchant.
3. Subscription fees, plans, and billing
- The Merchant pays the subscription fee for its plan, as shown in the BMS and on cliqmenu.com. CliqMenu currently offers a single subscription plan; any additional plans or order-based pricing introduced later will be presented in the BMS and on cliqmenu.com before they apply to you.
- Free trial. New Merchants may receive a free trial (currently 30 days) with no payment details required up front. We do not charge you during the trial. To continue after the trial, you add payment details and subscribe; if you do not, you are not charged — but subscription-gated parts of the Platform (for example, updating locations) may pause until you subscribe. Your data is not deleted because a trial ends.
- Auto-renewal and cancellation. Subscriptions renew automatically each billing cycle until cancelled. You can cancel at any time from the billing portal in the BMS; cancellation takes effect at the end of the current paid period, and you keep access until then. We do not pro-rate or refund the current period on cancellation, except where a refund is required by consumer law.
- Taxes. Prices are shown in your registration country's currency and include any tax that applies to that price (for example, Australian GST is included in the displayed price). Where a sale is zero-rated or no tax otherwise applies (for example, for New Zealand-registered Merchants), no tax line is added.
- If a subscription lapses (after cancellation, a failed payment, or an unconverted trial), your data is kept and your account remains accessible, but subscription-gated features may be unavailable until you re-subscribe.
- Fee changes. Fees and billing cycles may change. We will give you at least 30 days' notice of any fee increase, and it takes effect from your next billing cycle after that notice. If you do not agree, you can cancel before it takes effect and the increase will not apply to you. Subscriptions are billed through our billing provider.
4. Payments, platform fees, and commission
- Customer payments are processed by the Merchant's own payment provider (Stripe for AU / NZ; Cashfree for India). Payouts, settlement timing, and payment-provider fees are governed by that provider's agreement with the Merchant.
- Stripe Connect relationship. Where the Merchant uses Stripe, CliqMenu acts as the Merchant's Stripe Connect platform, and this Agreement (with the Terms of Service) is the "platform provider agreement" referred to in Stripe's terms. To accept online payments the Merchant must enter into and comply with the Stripe Connected Account Agreement and Stripe Services Agreement directly with Stripe (or the Cashfree equivalent in India). The Merchant authorises CliqMenu, as platform, to create or enrol the Merchant's connected account, act on the Merchant's behalf in relation to it as needed to operate the Platform, and instruct the provider to deduct CliqMenu's platform fee from settlement. Stripe and Cashfree are responsible for payment processing; CliqMenu is not the payment processor, and the Merchant remains solely responsible for the goods it sells and its obligations to its Customers.
- Online-order platform fee. CliqMenu charges a per-order platform fee on orders paid online through the connected payment provider. This fee is taken as an application fee — deducted from the Merchant's payout by the provider before settlement — and the current amount is disclosed in the BMS pricing and the fee calculator at cliqmenu.com before you enable online payments. Cash and card-at-counter orders carry no CliqMenu platform fee, because those payments never flow through CliqMenu.
- CliqMenu does not store card or bank-account data. It receives the processor account identifiers needed to route payouts to the Merchant.
5. Chargebacks, refunds, and disputes
- The Merchant is responsible for refunds and for resolving Customer disputes about its orders, in line with consumer law.
- Chargebacks, reversals, and related fees raised through the payment provider are the Merchant's responsibility and may be recovered from the Merchant or offset against payouts by the provider per the provider's terms.
6. Data and privacy
- The Merchant and CliqMenu each handle personal information collected through the Platform as described in the Privacy Policy.
- In the marketplace model, the Merchant generally controls its own Customers' data (it receives the orders) and CliqMenu processes that data to operate the Platform, while CliqMenu also uses certain data for its own purposes (such as sending receipts, fraud prevention, and support). Where required, a Data Processing Addendum will apply.
- The Merchant must handle Customer information lawfully and only for fulfilling orders and running its business.
7. Support access ("Login As" / impersonation)
To help you, CliqMenu staff may need to access your account and act within it on your behalf (sometimes called "impersonation" or "Login As"). This happens only with your consent, which you control through the in-app Support Access setting:
- You grant access for a time-boxed period that you choose (currently 1, 5, 15, or 30 days), and you can revoke it at any time; access also ends automatically when it expires.
- During initial onboarding, or while an account is not yet active, limited access may apply so we can help you get set up.
- While a staff member is acting in your account, your Customers' personal information (name, email, and phone) is masked from them.
- Support-access sessions are logged/audited.

8. Term, suspension, and termination
- This Agreement runs while the Merchant has an active account.
- We may suspend or terminate for breach, non-payment, legal requirement, or risk to the Platform or its users.
- The Merchant may close its account at any time. Before closing, you can export your sales and order reports from the BMS. On closure, access ends and data is handled per the Privacy Policy — including a staged deletion with an undo window followed by tax-retention of order records (Australia 5 years / New Zealand 7 years / India 8 years) before purge.
9. Service availability
We aim to keep the Platform available and reliable, but we do not guarantee that it will be uninterrupted or error-free. We may carry out maintenance and will give reasonable notice of planned downtime where practical. This Agreement does not include a separate service-level or uptime commitment, without limiting any non-excludable consumer guarantee.
10. Warranties, liability, and indemnity
- Each party warrants it has the authority to enter this Agreement.
- The Platform is provided "as is" to the extent permitted by law; liability is limited as set out in the Terms of Service, subject to non-excludable consumer guarantees.
- The Merchant indemnifies CliqMenu against claims arising from the Merchant's products, conduct, or breach of this Agreement, except to the extent caused by CliqMenu.
11. General, governing law, and changes
- This Agreement is governed by the laws of the contracting CliqMenu entity's jurisdiction. We may update this Agreement; material changes require the Merchant to re-accept in the BMS before continuing. If a material change is to your detriment, you may cancel this Agreement without penalty before the change takes effect; your existing paid period is unaffected.
- The general terms in the Terms of Service — entire agreement, assignment, severability, waiver, force majeure, notices, dispute resolution, and fairness of these terms — also apply to this Agreement.
